Steps to open a company

When it comes to formally opening a company, entrepreneurs are faced with several steps that, at first, can be daunting.


But if there is planning and attention, such bureaucracies do not take more time than necessary, and in less than a week it is possible to open the company.



In summary, until the company is up and running and has all the registrations, it will first be necessary to define the name of the company, according to the rules of each corporate type (company name or firm):


1. Define the business size, which can be Individual Microenterprise, Microenterprise, or Small, Medium, or Large Enterprise;

2. Define the company's tax regime, according to whether it is classified as Simples Nacional, Lucro Presumido, or Lucro Real;

3. Define the legal nature of the company, according to its characteristics and objectives. Among the most commonly used are the Individual Entrepreneur, the Simple, Limited and Joint Stock Company, but there are several other types, such as the General Partnership, Limited Partnership, Limited Joint Stock Company, Special Purpose Company, and the Cooperative;

4. Draw up the Articles of Incorporation and register them with the competent body, in the case of a limited company, the most common: the JUCESP;

5. Provide the municipal registration and the state registration, the latter depending on the company's activity.

6. Provide the company's registration in the National Register of Legal Entities, or "open the CNPJ";

7. Arrange for the company to register with the FGTS and INSS.


The steps above can be found on the Federal Government's REDESIM website, and each state has its own way of doing this.
